Tony Roehl is a Partner in the firm’s Insurance and Reinsurance and Corporate Practices. Mr. Roehl’s principal areas of concentration are insurance regulation and corporate matters involving entities within the insurance industry. 

 

Mr. Roehl’s experience includes assisting insurance companies and insurance agencies with mergers and acquisitions and corporate consolidations. He also advises insurance companies and alternative risk transfer vehicles regarding all aspects of company formation and licensing, Holding Company Act filings and transactions, and managing the approval of form and rate filings. He assists clients with the formation and licensing of managing general agencies, negotiation and drafting of complex distribution and marketing agreements, and directs and manages multi-state licensing projects. Mr. Roehl counsels clients regarding all aspects of regulatory compliance, including market and financial conduct examinations and Departments of Insurance inquiries. 

 

Representative Matters 

  • Completed over 30 insurance industry M&A transactions within the last two years. 

  • Represented NationsBuilders Insurance Company in its reimnsurance novation transaction with Catalina General Insurance Ltd. 

  • Represented NationsBuilders Insurance Services, Inc. in the purchase of a 40+ state licensed shell property and casualty insurance company. 

  • Represented the seller of multiple Incorporated Cell Captives Insurance Companies in negotiating the sale and securing regulatory approval. 

  • Coordinated domestic and international insurance regulatory approvals on behalf of Dexia S.A. in its $816.5 million (U.S.) sale of FSA Holdings Ltd. and its insurance subsidiaries to Assured Guaranty Ltd. 

  • Advised BroadStreet Capital Partners, L.P. and other tender offer dealer managers on insurance regulatory considerations related to the Syncora Holdings Ltd. restructuring. 

  • Joint representation of Texas Pacific Group and Calera Capital in the acquisition of a public U.S. property and casualty company and securing approval of acquisition from six states.
